Welcome to ContractDue. By accessing or using our platform, you agree to be bound by these Terms of Service. Please read them carefully before using our services. If you do not agree to these terms, please do not use our platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ContractDue (C-CODE SOFTWARE DOO) regarding your use of our platform, website, and related services. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

ContractDue provides an AI-powered contract management platform that helps users track contract obligations, deadlines, renewals, and other critical dates. Our service allows users to upload contracts, receive automated analysis, and manage contract-related tasks. The service is provided "as is" and "as available" for your use.

3. User Accounts

To access certain features of our platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information when creating your account
  • Maintain and promptly update your account information
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

4. Acceptable Use Policy

You agree not to use our platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. Prohibited activities include but are not limited to:

  • Uploading contracts or content that you do not have the right to use
  • Attempting to gain unauthorized access to our systems or networks
  • Using the platform to harass, abuse, or harm others
  • Uploading malicious code, viruses, or harmful software
  • Reverse engineering, decompiling, or disassembling our platform
  • Using automated scripts to collect information from our platform

5. Intellectual Property Rights

The platform, including its original content, features, and functionality, is owned by ContractDue and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works of, publicly display, or in any way exploit any of the content, software, or materials on our platform without our express written consent.

Your Content

You retain all rights to the contracts and content you upload to our platform. By uploading content, you grant us a limited license to process, analyze, and store that content for the purpose of providing our services to you. We do not claim ownership of your contracts or data.

6. AI Analysis Disclaimer

Our platform uses artificial intelligence to analyze contracts and extract information. While we strive for accuracy, you acknowledge that:

  • The AI analysis is provided for informational purposes only
  • We do not guarantee the accuracy, completeness, or reliability of any analysis
  • You should not rely solely on our analysis for critical business decisions
  • We recommend reviewing all contract analysis manually for verification
  • Our service does not constitute legal advice or legal opinion

7. Fees and Payments

We may offer free trials, waitlist access, or paid subscription plans. If you subscribe to a paid plan, you agree to pay all fees associated with your chosen plan. Fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. We reserve the right to change our fees at any time with appropriate notice.

8. Cancellation and Termination

You may cancel your account at any time through your account settings. We reserve the right to suspend or terminate your access to the platform at our sole discretion, without notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the platform will immediately cease.

9. Limitation of Liability

To the fullest extent permitted by applicable law, ContractDue and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the platform
  • Any conduct or content of any third party on the platform
  • Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer of Warranties

Your use of the platform is at your sole risk. The platform is provided on an "AS IS" and "AS AVAILABLE" basis. ContractDue expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to defend, indemnify, and hold harmless ContractDue and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the platform
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Belgrade, Serbia.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our platform after those revisions become effective, you agree to be bound by the revised terms.
